My client, a reputable company in the manufacturing space, is looking to grow their legal team. This person will be supporting the General Counsel and the CCO directly on all legal corporate matters and have the opportunity to work cross functionally throughout the business.
Responsibilities:
- Assist in managing corporate governance for over 25 global entities within the company covering entity management, annual filings, and record maintenance.
- Support the General Counsel with Board Secretary responsibilities, including preparing agendas, collecting signatures, and maintaining and filing resolutions.
- Oversee the management of the intellectual property portfolio, performing initial trademark searches and gathering necessary specimens for renewals.
- Contribute to due diligence efforts for mergers and acquisitions (M&A) transactions.
- Provide contract support for standard corporate agreements (e.g., non-disclosure, sales, logistics, and independent contractor agreements), including drafting, reviewing revisions, and filing signed agreements under the supervision of the General Counsel.
- Support the Chief Compliance Officer in global compliance initiatives, including coordinating training, distributing compliance materials, and assisting with audits.
- Assist in preparing documentation and managing activities related to corporate restructurings, such as mergers, formations, and dissolutions.
- Draft Powers of Attorney and lead activities related to the apostille and legalization of documents for global affiliates, agencies, and lenders.
- Provide general administrative support to the Legal team as needed.
- Collaborate with other members of the Executive team on special projects and initiatives.
- Perform additional duties and responsibilities as assigned.
Qualifications:
- Bachelor’s degree and minimum 7 years’ experience supporting in-house legal departments and corporate governance. Paralegal Certificate preferred.
